1. Acceptance of Terms

These Terms of Service (“Terms”) form a legally binding agreement between you (“User”, “Merchant”, “SHG”, “FPO”, “Producer Company”, “Retailer”, “You”) and Ashti Ventures Pvt. Ltd. (“Bharatrath”, “We”, “Us”, “Our”).

By accessing or using the Bharatrath Digital Platform (BDP), you agree to be bound by these Terms. If you do not agree, you must stop using the services immediately.

2. Description of Services

Ashti Ventures Pvt. Ltd. provides a SaaS-based digital commerce platform for SHGs, FPOs, MSMEs, artisans, and retailers, including:

  • E-commerce Website Builder
  • POS Billing System
  • GST-compliant Invoicing
  • Retail ERP (Products, Stock, Orders, Inventory, Reports)
  • Manufacturing & Batch Management
  • Barcode & Label Printing
  • Customer & Supplier Management
  • Multi-warehouse & Multi-store
  • Payment Gateway Integration
  • Reports & Analytics
  • Mobile + Web Platform

3. Account Registration & Responsibilities

3.1 You must:

  • Provide accurate information
  • Keep login credentials confidential
  • Maintain updated business information

3.2 You are responsible for:

  • All activities in your account
  • Securing your password
  • Notifying us of unauthorized access at [email protected]

Ashti Ventures Pvt. Ltd. is not responsible for damages caused by unauthorized access.

4. Payment Gateway & Fees

4.1 Payment Gateway

Integration is provided through third-party partners such as Razorpay and Cashfree. Ashti Ventures is not liable for:

  • Settlement delays
  • Bank failures
  • Chargebacks
  • Payment disputes

4.2 Subscription Fees

Platform usage requires:

  • One-time onboarding fee
  • Annual subscription charges
  • Supplier registration fees

Fees are:

  • Prepaid
  • Non-refundable (except as per refund policy)
  • Subject to revision with notice

4.3 Taxes

Users are solely responsible for:

  • GST filings
  • Tax compliance
  • Correct tax configuration

5. User Data & Content Ownership

All data you upload—products, customers, invoices, stock, images—belongs to you. You grant Ashti Ventures Pvt. Ltd. a limited license to store and process this data solely for:

  • Providing platform services
  • Analytics
  • Technical improvements
  • Support

We never sell data.

6. Prohibited Use

Users may not:

  • Sell illegal products
  • Upload harmful or fraudulent content
  • Hack or reverse-engineer the platform
  • Misuse customer data
  • Create competing SaaS systems using BDP
  • Manipulate the payment gateway

Violations may result in suspension or termination.

7. Third-Party Services

Certain features rely on external partners:

  • Payment gateways
  • Hosting & cloud providers
  • SMS/Email providers
  • Maps & API services

Ashti Ventures is not liable for the performance or failure of third-party systems.

8. Intellectual Property

Platform software, code, UI/UX, branding, and documentation belong exclusively to Ashti Ventures Pvt. Ltd. Users may not copy, modify, or distribute platform components.

9. Cancellation, Return & Refund

9.1 Subscription Refund

  • 100% refund if requested within 7 days of annual plan purchase
  • No refunds after 7 days
  • Convenience fees are non-refundable

9.2 Merchant Store Policies

Merchants must maintain their own:

  • Return policy
  • Cancellation policy
  • Replacement & refund policy

Ashti Ventures is not responsible for merchant-customer disputes.

10. Limitation of Liability

Ashti Ventures Pvt. Ltd. is not liable for:

  • Loss of business
  • Loss of profits
  • Data loss
  • Payment gateway issues
  • System outages
  • Third-party errors

Our liability is limited to the amount paid in the last 12 months.

11. Modification of Services

We may modify, upgrade, restrict, or suspend services at any time.

12. Termination

We may terminate accounts for:

  • Misuse
  • Violations
  • Fraud
  • Non-payment

Users may request account deletion via [email protected].

13. Governing Law

These Terms are governed by Indian law. Jurisdiction: Pune, Maharashtra courts.
